Payment Processing Schedule

This Payment Processing Schedule is incorporated by reference into the Digital Services Terms and Conditions between Kaizen Laboratories Inc. (“Company”) and the applicable Customer, as set forth in Section 4.4 of the Agreement.

Designated Payment Processor

The Company Platform utilizes Stripe, Inc. as its designated third-party payment processor. All electronic transactions conducted through the Platform are processed via Stripe Express Connect. As part of onboarding, each Customer is required to establish and verify a connected Stripe Express Connected Account in accordance with Section 4.4 of the Agreement. The Customer is the owner of its Stripe Express Connected Account and maintains control over account administration and user permissions.

Fee Schedule

The following fees apply to all transactions processed through the Company Platform:

A $15.00 dispute fee plus 0.21% of the transaction value applies to each chargeback or payment dispute occurrence.

In the event the Order Form specifies custom payment processing rates, those rates shall govern in lieu of the rates set forth above for the duration of the applicable Order Form term.

Each fee calculation, including all percentage-based components, is applied to the total charge amount collected from the End User at the time the transaction is processed, not to the pre-fee subtotal or pre-tax subtotal. Fees are deducted automatically from the transaction proceeds at the time of settlement. For the avoidance of doubt, the percentage rates set forth below are multiplied against the full transaction total (inclusive of all applicable taxes and fees), not against any intermediate subtotal.

Fee Responsibility and Separation

The party responsible for payment processing fees — whether Customer or End User — is designated in the applicable Order Form. The Customer may modify this allocation at any time during the Term by providing written notice to the Company. Changes will be implemented within thirty (30) days of such notice.

When End Users are designated as the responsible party, fees are collected as part of the transaction and settled separately at the platform level. Customer deposits will contain only program revenue — processing fees do not flow through the Customer’s bank account or appear in the Customer’s deposit stream. End Users will see a single total charge on their credit card statement. The breakdown of the base service cost and the processing fee is displayed on the checkout page prior to payment.

Fund Disbursement

The Platform automatically deducts applicable transaction fees (as defined in the Order Form, if applicable), payment processing fees, and other standard charges prior to remitting net proceeds to the Customer’s verified bank account. Deposits are configured at the Customer’s discretion. Funds from card transactions are generally available for payout two (2) business days after the transaction is captured. Payouts are initiated at 12:00 AM UTC; actual deposit timing depends on the Customer’s bank processing schedule.

Chargebacks and Disputes

When a cardholder initiates a dispute, the Customer is notified through the Stripe Express Dashboard with the dispute details and evidence requirements. The Customer is responsible for reviewing disputes and submitting supporting documentation (receipts, proof of service, communication records) within the processor’s required response timeline, typically 7–21 days depending on the card network. Most disputes are resolved within 60–75 days.

If a dispute is lost, the disputed transaction amount is recovered from the Customer’s Stripe balance or offset against future incoming payouts. Upon Customer request, the Company will configure the account so that Stripe will not initiate direct debits to the Customer’s connected bank account. Dispute fees are non-refundable regardless of outcome.

Refunds

When the Customer issues a refund to an End User, the full transaction amount is returned to the End User’s original payment method. Processing fees from the original transaction are non-refundable by the payment processor and remain the responsibility of the Customer. For the avoidance of doubt, no portion of the processing fee is deducted from the End User’s refund — the Customer absorbs the non-refundable processing fee as part of normal operations.

Account Setup Requirements

To enable payment processing through the Platform, the Customer must:

  1. Create a Stripe Express Connect account through the Company’s secure onboarding flow
  2. Complete identity verification as required by Stripe
  3. Link and verify a valid bank account for fund disbursement
  4. Accept Stripe’s Connected Account Agreement

Per Section 4.4 of the Agreement, account setup must be completed within thirty (30) days of the Effective Date. The Company will provide administrative assistance during setup. Once setup is complete, the Company’s administrative access may be removed at the Customer’s direction.

Reporting and Transparency

Customers have direct access to all transaction activity through the Stripe Express Dashboard, including transaction-level processing fees, payout amounts and timing, dispute and chargeback activity, settlement reconciliation, and exportable transaction and payout reports. Reports are available in real time and can be generated and exported on demand.

Changes to This Schedule

The Company reserves the right to update this Payment Processing Schedule to reflect changes in third-party processor rates, the addition of new payment methods, or adjustments to the Company’s payment infrastructure. The Company shall provide at least thirty (30) days’ written notice to active Customers prior to any material change in fees. The version of this schedule in effect as of the Effective Date of the applicable Order Form shall govern unless updated in accordance with Section 4.4 of the Agreement.
